About Ethiopian Securities Exchange (ESX)

ESX is Ethiopia’s first, and only organized securities exchange. ESX is being established as a public private partnership in line with Article 31 of the Capital Market Proclamation (No.1248/2021).

ESX operates the business of a securities exchange, functions as a Self-Regulatory Organization (“SRO”), and serves as the central market organizer providing an integrated product suite covering the equities, fixed income, and money market segments of the capital markets.

As the pioneer securities exchange, ESX aims to play a critical role in the development and growth of the Ethiopian capital markets. ESX’s core objective is to facilitate access to capital and support effective capital allocation in a manner that supports Ethiopia’s economic growth. By developing a well-regulated and efficient capital market ecosystem, ESX will enable mobilization of financial resources for both public and private sector institutions while providing investors a reliable platform to invest in a reliable and efficient environment.

Role Overview

The role is responsible for managing the listing process for companies seeking to be listed on the exchange and ensuring compliance with ongoing reporting requirements, ensuring those rules reflect best international practices. The Listing and Reporting Manager contributes to the transparency and credibility of ESX while ensuring that the listed companies meet their regulatory obligations. This role involves working closely with listed companies, regulatory bodies, and internal stakeholders to facilitate the smooth functioning of the exchange. Additionally, the role not only requires the ability to confidently review complex submission types but also to provide mentorship and guidance.

The manager coordinates with various internal departments, including legal, finance, and compliance to ensure a seamless and compliant listing process. The Listing and Reporting Manager also plays a crucial role in maintaining the integrity and efficiency of the ESX by overseeing the listing process and ensuring accurate and timely reporting by listed companies.

Duties and Responsibilities of the role

  •  Lead the listing and delisting of securities and issuers compliance with continuous disclosure requirements.
  • Review applications and/or proposals made by issuers for listing (assessing prospectus/offering memorandum and other listing documents) approve transactions and/or further actions where appropriate; communicate decisions to the management of issuers and/or their advisors, including auditors and legal counsel.
  • Handle pre-IPO and pre-listing enquiries by issuers before filing of listing applications as well as support prospective issuers and advisors on listing related matters.
  • Communicate with the Board and relevant committee in relation to listing applications.
  • Maintain accurate and complete records of listing applications and files in a centralized database.
  • Supervise compliance of issuers with the rules and procedures of the exchange and other applicable laws and regulations.
  • Monitor listed companies’ compliance with the continuing obligations of the Listing Rules including continuous disclosures by listed companies and their corporate governance practices, and process their applications for listing of further issues.
  • Oversee the timely and accurate release of information to the public.
  • Ensure compliance with disclosure obligations, including financial reporting and material event disclosures.
  • Prepare reports outlining the issuer’s operations and affairs (financial statements, governance, etc.) taking into consideration all relevant requirements, policies and precedents.
  • Review disclosure documents to ensure compliance with relevant financial reporting and other standards.
  • Handles cancellations of listings, public complaints against listed companies and enquiries and requests for clarification of the application of the Listing Rules by listed companies and service providers.
  • Lead the drafting, maintenance, and interpretation of the Listing Rules.
  • Identify ways to streamline and manage the listing process more effectively.
  • Support in implementing strategic initiatives and policies where appropriate.
  • Participate in market development, advocacy, educational seminars/presentations for issuers and market participants.
  • Cultivate and maintain positive relationships with potential issuers and listed companies.
  • Act as a primary point of contact for listed companies, addressing inquiries and providing guidance on reporting and compliance matters.
  • Develop policy initiatives and enhance regulations to raise industry standards for the development of products and services.

  • Internal: Line managers, Executive Management
  • External: Prospective Issuers, Investors, Private Sector, Regulatory Bodies and other stakeholders

 

Reports to: Chief Operating Officer

Qualification Required:  

  • Master’s Degree in Finance, Accounting, Economics, Business Administration, Management, or other relevant fields of study.
  • At least eight (8) years of hands-on experience in financial analysis and modeling.

Competency requirements: 

  • Demonstrated competence in financial analysis and solid understanding of financial markets, accounting principles, and regulatory frameworks.
  • A high degree of computer literacy.
  • Current knowledge of industry practices, trends, and issues.
  • Ability to work effectively as a team member in a private multi-cultural environment.
  • Ability to analyze data and provide recommendations.
  • Detail-oriented with a focus on accuracy and compliance.
  • Good interpersonal, presentation and written communication skills, ethical and high-level of integrity.
  • A positive “can-do” attitude, open-minded & sense of ownership.

 

Language requirements:

  • Fluency in English and Amharic
