Habesha Breweries S.C. is looking for a Legal and Shareholder Affairs Director reporting into the CEO.
The Role Summary
The legal and Shareholders Affairs Director is accountable for taking the day to day legal responsibilities and providing legal advice that includes all the aspects of the analysis, investigation and drafting process. He/she is responsible for providing support in discrete legal issues by advising the organization, drafting undertakings and structuring remedies for the relevant issues.
Main Duties:
- Conduct legal analysis and research on various legal matters of the client or the organization.
- Provide advice on different legal issues and assist in drafting legal opinions, memorandum and other briefing documents.
- Actively involves in preparing and drafting of different acts and legal submissions and draft the authoritative legal opinions as well.
- Conduct legal research by utilizing various resources and selecting the relevant material to analyze the legal information.
- Assist in reviewing the legal material and any other relevant documents and to identify the most important issues that need to be sorted out on a priority basis.
- Draw up formalities regarding the settlement of disputes and monitor the implementation of the legal clauses.
- Advises on employment matters, including drafting, negotiating and administering employment agreements.
- Develop and oversee the systems that ensures HBSC complies with legal and statutory requirements.
- Manage the shareholder office that is responsible for the register of shareholders, and maintain changes in share ownership of HBSC on ongoing basis.
- Protect HBSC interest by vetting all contracts with third party.
- Set up, review, provide and advice on all legal documents, contracts, agreements between HBSC and third parties if so required. including commercial agreements.
- Advise management and HBSC's board on legal matters that may arise in the course of doing business.
- Prepare Board report on all completed contracts that need to be brought the attention of the board.
- Establish and maintain consistent communication with the board of directors and serve as its primary liaison to the CEO and MT.
- Collaborate with the Board to develop agendas for OGM, EGM, BOD and other meetings.
- Draft minutes, resolutions, and communications and ensure timely distribution.
- Ensure the security of the Company's legal documents.
- Lead shareholder affairs department.
- Ensure all shareholders activities are organized and led by him/her.
- Lead and organize regular meetings with general shareholders.
- Ensure shares are management done according to the country law.
- Ensure proper customer service provided to all share holders.
- Manage buying, selling and issuing of shares.
Required Competencies
- LLM/LLB in Law
- 8 years of work experience of which 2 years in similar role
- Excellent knowledge of all types of legal matters related to the operation of an organization and corporate law, law of contract, civil and labor law
- English and Amharic language fluency
